Provider Agreement

You operate an independent business. BaselineBook is a technology platform that lists your services and processes bookings and payments. BaselineBook is not your employer, agent, partner, or joint venturer, does not control how you deliver your services, and is not a party to your agreements with players or with other Providers (for example, a club that hosts a coach).

You represent and warrant, on a continuing basis, that you hold all licenses, registrations, permits, and insurance required for your business; that you comply with all applicable laws, including youth-protection and background-check laws for anyone who works with minors; and that you have obtained and will maintain any background checks or certifications required by law or by a club or coaching business you work with.

You are solely responsible for the conduct, qualifications, and legal compliance of your own staff and coaches, for delivering your services lawfully and safely and as described in your listings, and for the truthfulness of all content, credentials, and badges you submit.

If you enable the home-screen widget and choose to show clients’ full names on it, you acknowledge that this information, which may include the names of minors, can appear on your device’s lock screen and be visible without unlocking. You are solely responsible for who can view your device and for using that setting in a manner consistent with applicable privacy and youth-protection laws. Full names are off by default.

Any background check offered through the Platform is performed by a third-party consumer reporting agency, not by BaselineBook, and is governed by that agency’s processes and the federal Fair Credit Reporting Act. Any badge or credential displayed is informational only and is not an endorsement or guarantee by BaselineBook. Credentials you upload yourself are your representation and are not verified by BaselineBook.

You are solely responsible for determining and meeting any background-check requirement that applies to you, including for working with minors. BaselineBook does not vet, certify, or endorse you.

Players pay through the Platform, and payouts are made to your connected Stripe account. The price a player pays is your base price plus a platform service charge; you receive your base price and BaselineBook retains the service charge. You are responsible for your own taxes and for any amounts you owe your own staff or coaches, which you settle off-platform. Chargebacks and disputes are handled through Stripe and may be recovered from your account under Stripe’s terms.

Cancellations are handled through account credits at the entity that took the booking, under the Platform’s cancellation policy and the cancellation window you set. You agree to honor credits issued at your entity. Cash refunds are reserved for limited situations such as disputes, closure, or inability to deliver.

You agree not to use the Platform to find players and then move those transactions off-platform to avoid fees, and not to solicit Platform users off-platform in violation of these terms.

When you work at or host another Provider (for example, a coach approved at a club, or a coaching business partnered with a club), the terms between you and that other Provider, including any internal payment splits, are between you and them. BaselineBook routes payment only to the entity that took the booking.

You agree to indemnify, defend, and hold harmless BaselineBook and its officers, employees, and agents from any claim, damage, loss, liability, or expense, including reasonable legal fees, arising from your services, staff, or conduct; your content or credentials; your breach of this Agreement or the law; or any injury or harm connected to services you provide. This obligation survives termination.

BaselineBook may remove any listing, badge, or credential, and may suspend or terminate your Provider account, at its discretion, including for violations, reported or suspected false credentials, safety concerns, fraud, or chargeback abuse.

The disclaimers and limitation of liability in the Terms of Service apply to this Agreement.

We may update this Agreement from time to time; when we make material changes we will update the "Last updated" date and, where appropriate, provide additional notice. You may stop operating as a Provider at any time, subject to honoring existing bookings and any credits you have issued.

By checking the attestation box during setup, you confirm that you have read, understood, and agree to this Provider Agreement and the Terms of Service, that you have the legal right to operate, and that you are solely responsible for your own compliance, including any background checks required for working with minors, licensing, and insurance.
